Terms Of Use

Welcome to the Santa Clara Valley Transportation Authority ("VTA") transit data website (the "Data" or "Site"). By continuing use of the Data or accessing any materials on the Site, you agree to these Terms of Use ("Terms"), as they may be updated or modified by VTA at any time in its discretion. If you do not agree to them, do not use the Data, Site or download any material from it.

VTA hereby grants you (Licensee) non-exclusive, limited and revocable rights to use, reproduce, copy, and store VTA Data subject to the following Terms:

• VTA trademarks and copyrighted materials, including any confusingly similar variants, may not be used in association with Data.
• Data is provided on an "as is" and "as available" basis. VTA makes no representations or warranties of any kind, express or implied. VTA disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. VTA does not warrant that the Site or Data will be available at any given time, secure, accurate or free of error. You use the Site and Data at your own risk, and you assume the risk that the Site or Data may provide incorrect information to you or your workers, as well as the risk that any material downloaded by you from the Service may cause loss of data or damage to your computer system.
• VTA and its employees, officers, directors and agents will not be liable for damages of any kind arising from the use of Data including but not limited to direct, indirect, incidental, punitive and consequential damages.
• VTA reserves the right to alter and/or no longer provide Data at any time without prior notice.
• VTA maintains title, ownership, rights and interest in and to Data.

Licensee Obligations:

You shall:

• not use the Data in any way that causes detriment to VTA or brings VTA into disrepute.
• not change, tamper, dismantle, augment, misrepresent or otherwise modify the Data.
• agree that access to and use of the Transport Information is subject to terms and conditions prohibiting unauthorized redistribution and publication and protecting VTA’s Intellectual Property Rights (as defined below);
• comply with all applicable laws and regulatory requirements in relation to your receipt and use of the Data; and
• not represent yourself as VTA or an agent or partner of VTA or make any representations, warranties or guarantees to third parties in respect of the Data.
• In no event claim ownership of the Data on your website, application or any other digital product. You shall have no rights to reproduce or use the VTA trademark in connection with the Data.
• not make the Data available to any third parties. You shall have no rights to assign, transfer or convey this Agreement to any third party.

You may combine the Transport Information with other data provided such combination does not infringe any third party Intellectual Property Right.

By using VTA Data, you agree to be bound by all of the Terms and Conditions set forth in this agreement.

Applicable Law

The laws of the State of California shall govern all rights and obligations under this Agreement, without giving effect to any principles of conflicts of laws.

Entire Agreement

This Agreement constitutes the complete and exclusive agreement between VTA and Licensee with respect to the subject matter hereof and supersedes all prior oral or written understandings, communications, or agreements not specifically incorporated herein. VTA reserves the right to modify or revoke this agreement at any time.
